These terms govern purchases and enquiries made through smartcodesolution.com, operated by Smart Code Solution, Hluboká 82/3, 639 00 Brno-střed-Štýřice, Czechia (support@smartcodesolution.com, +420 723 135 793). By placing an order or submitting the contact form, you agree to these terms.
We sell fixed-scope software development, design, and support packages, described on /services/ and /pricing/, plus hourly work billed at €75/hour for anything outside a package's stated scope. Each package's page states what's included, what's out of scope, its price, and its typical delivery time before you buy it.
All prices are shown in EUR, exclusive of VAT. The standard Czech VAT rate of 21% is added at checkout unless you're an EU business client providing a valid VAT ID from outside Czechia, in which case the reverse-charge mechanism applies and VAT is not added to your invoice — you account for it in your own jurisdiction. Package prices marked "from" reflect the scope stated in that package's includes list; work outside that scope is quoted separately before we start it.
Placing an order through checkout, or agreeing a proposal following a discovery call, constitutes acceptance of the stated scope and price. Each package is invoiced against a payment schedule set out in your order confirmation or proposal — typically a payment to begin work, with the balance due at agreed milestones or on delivery. Maintenance & Support retainers are billed monthly in advance. We accept bank transfer against an invoice as our standard payment method.
Work proceeds against the scope agreed in your order or proposal. Any addition to that scope is handled as a change order — a written addition with its own price and, where relevant, its own effect on the delivery timeline — agreed with you before we act on it. We do not add unscoped work to an invoice without your agreement first.
On payment of the final invoice for a package or project, full intellectual property rights and the complete source code transfer to you. Before final payment, deliverables remain our property. We do not retain a licence, a dependency, or any right to withhold source code once the final invoice is paid, except for general-purpose code or components that pre-date your project, which remain ours.
Every delivered build carries a 30-day warranty from the date of launch or handover: defects in what we shipped — work that doesn't match the agreed scope — are corrected at no charge. The warranty covers correctness of delivered work, not new features or scope changes.
We aim to deliver a working system that matches the agreed scope. To the extent permitted by Czech law, our liability for any claim relating to a project is limited to the fees paid for that project. We aren't liable for indirect or consequential losses, including lost profits, except where such exclusion isn't permitted by law.

These terms are governed by the law of the Czech Republic. Any dispute not resolved directly falls under the jurisdiction of the courts of Brno. If you're a consumer resident elsewhere in the EU, mandatory consumer-protection provisions of your own country of residence may also apply and are not overridden by this clause.
